1. Agreement to Terms
These Terms of Service ("Terms") constitute a legally binding agreement between you ("User," "you," or "your") and ContactLoop Inc, a Delaware corporation ("ContactLoop," "VoiceFusion," "we," "us," or "our"), governing your access to and use of the VoiceFusion AI Receptionist platform, including our website at voicefusion.com, mobile applications, APIs, and all related services (collectively, the "Service").
By creating an account, clicking "I agree," or otherwise accessing or using the Service, you confirm that you have read, understood, and agree to be bound by these Terms and our Privacy Policy. If you do not agree, you must not access or use the Service.
If you are accepting these Terms on behalf of an organization or legal entity, you represent and warrant that you have authority to bind that organization to these Terms.
2. Description of Service
VoiceFusion provides an AI-powered virtual receptionist platform that enables businesses to automate inbound telephone call handling. The Service includes, but is not limited to:
- Automated answering of inbound phone calls using artificial intelligence
- Frequently asked question (FAQ) response automation
- Message taking and delivery
- Call transfer and routing to live staff
- Spam and unwanted call filtering
- Custom greeting configuration
- Integration with Google Calendar for appointment scheduling
- Integration with third-party platforms including CRM software, messaging tools, and automation services
- A dashboard for managing AI training, call history, and account settings
The Service is intended for business use. You agree to use VoiceFusion only in connection with legitimate business operations.
3. Eligibility and Accounts
You must be at least 18 years of age and capable of forming a legally binding contract under applicable law to use the Service. By using the Service, you represent and warrant that you meet these requirements.
When you create an account, you agree to:
- Provide accurate, current, and complete registration information
- Maintain the security and confidentiality of your login credentials
- Promptly update your account information if it changes
- Notify us immediately at support@voicefusion.com if you suspect unauthorized access to your account
- Accept responsibility for all activities that occur under your account
We reserve the right to refuse registration or cancel accounts at our sole discretion.
4. Free Trial and Subscription Plans
We may offer a free trial period (currently 7 days) during which you can access the Service with full features at no charge. After the trial period expires, continued use of the Service requires a paid subscription.
Subscription fees are billed in advance on a recurring basis (monthly or annually, as selected). All fees are non-refundable except as expressly stated in these Terms or as required by applicable law. We reserve the right to change our pricing at any time with at least 30 days' prior notice to active subscribers.
Failure to pay applicable fees may result in suspension or termination of your account.
5. Acceptable Use Policy
You agree to use the Service only for lawful purposes and in a manner consistent with all applicable federal, state, and local laws and regulations. You must not use the Service to:
- Violate any applicable law, regulation, or third-party rights
- Engage in fraudulent, deceptive, or misleading communications
- Harass, threaten, defame, or harm any individual or group
- Transmit spam, unsolicited messages, or automated communications that violate the Telephone Consumer Protection Act (TCPA) or CAN-SPAM Act
- Impersonate any person or entity, or misrepresent your affiliation with any person or entity
- Transmit content that is unlawful, obscene, harmful, or otherwise objectionable
- Attempt to gain unauthorized access to our systems, networks, or data
- Reverse engineer, disassemble, decompile, or otherwise attempt to derive source code from the Service
- Use the Service to train competing AI systems or models without our express written consent
- Circumvent, disable, or otherwise interfere with security-related features of the Service
We reserve the right to investigate and take appropriate action against violations of this policy, including suspending or terminating accounts.
6. AI Receptionist and Phone Services
The Service uses artificial intelligence and large language model technology to handle phone calls on your behalf. You acknowledge and agree that:
- AI responses may not always be accurate, complete, or appropriate for every situation
- You are solely responsible for configuring the AI with accurate business information, FAQs, and instructions
- You are responsible for ensuring that your use of AI receptionist services complies with all applicable telecommunications laws, including call recording disclosure requirements in your jurisdiction
- Many jurisdictions require that parties to a call be informed when AI is handling the interaction or when calls are being recorded; you are responsible for enabling appropriate disclosures
- VoiceFusion does not guarantee that all calls will be handled correctly and is not liable for any calls that are missed, mishandled, or incorrectly processed
7. Google Calendar Integration
The Service offers optional integration with Google Calendar to enable appointment scheduling functionality. By connecting your Google account, you authorize VoiceFusion to:
- Read your Google Calendar availability to offer appointment slots to callers
- Create, update, and delete calendar events on your behalf as directed by callers
- Access basic Google account profile information necessary to maintain the integration
VoiceFusion's use and transfer of information received from Google APIs adheres to the Google API Services User Data Policy, including the Limited Use requirements. We will not use Google user data for any purpose other than providing and improving the appointment scheduling feature.
You may disconnect the Google Calendar integration at any time from your account settings. Disconnecting will revoke VoiceFusion's access to your calendar.
8. Third-Party Integrations
The Service may integrate with third-party platforms such as HubSpot, Salesforce, Slack, Zapier, Twilio, Stripe, and Notion. Your use of third-party integrations is subject to the terms and privacy policies of those third parties. We are not responsible for the practices, availability, or content of any third-party services.
By enabling a third-party integration, you authorize us to share relevant data with that third party as necessary to provide the integration functionality.
9. Intellectual Property
All content, features, functionality, software, text, graphics, logos, and other materials comprising the Service are owned by ContactLoop Inc or its licensors and are protected by United States and international copyright, trademark, patent, trade secret, and other intellectual property laws.
We grant you a limited, non-exclusive, non-transferable, revocable license to access and use the Service solely for your internal business purposes in accordance with these Terms. You may not copy, modify, distribute, sell, or lease any part of the Service without our prior written consent.
You retain ownership of any content you upload or provide to configure your AI receptionist ("User Content"). By providing User Content, you grant us a non-exclusive, worldwide, royalty-free license to use, process, and store that content solely to provide and improve the Service.
10. Data Privacy and Call Recording
Your use of the Service is governed by our Privacy Policy, which is incorporated into these Terms by reference. The Service may process personal data of your callers as a data processor on your behalf. You, as the business operator, are the data controller and are responsible for ensuring you have a lawful basis for processing caller data and for providing appropriate privacy notices to your callers.
Certain features of the Service may involve the recording or transcription of telephone calls. You are solely responsible for complying with all applicable laws regarding call recording, including obtaining any required consents from call participants.
11. Disclaimers and Limitation of Liability
THE SERVICE IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING, WITHOUT LIMITATION, IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR COMPLETELY SECURE.
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL CONTACTLOOP INC, ITS DIRECTORS, EMPLOYEES, PARTNERS, AGENTS, SUPPLIERS, OR AFFILIATES BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING WITHOUT LIMITATION, LOSS OF PROFITS, DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES, RESULTING FROM YOUR ACCESS TO OR USE OF (OR INABILITY TO ACCESS OR USE) THE SERVICE.
IN NO EVENT SHALL OUR TOTAL LIABILITY TO YOU FOR ALL CLAIMS RELATED TO THE SERVICE EXCEED THE GREATER OF: (A) THE AMOUNT YOU PAID TO US IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM; OR (B) ONE HUNDRED DOLLARS (USD $100.00).
12. Indemnification
You agree to defend, indemnify, and hold harmless ContactLoop Inc, its officers, directors, employees, and agents from and against any and all claims, damages, obligations, losses, liabilities, costs, or debt, and expenses (including attorneys' fees) arising from: (a) your use of and access to the Service; (b) your violation of any provision of these Terms; (c) your violation of any third-party right, including any intellectual property right or privacy right; or (d) any claim that your User Content caused damage to a third party.
13. Termination
You may terminate your account at any time by contacting us at support@voicefusion.com or through your account settings. Termination will take effect at the end of the then-current billing period unless you request immediate termination.
We may suspend or terminate your account immediately, without prior notice or liability, if you breach any provision of these Terms. Upon termination, your right to use the Service will immediately cease.
Sections 9, 11, 12, and 14 of these Terms shall survive termination.
14. Governing Law and Dispute Resolution
These Terms shall be governed by and construed in accordance with the laws of the State of Delaware, United States, without regard to its conflict of law provisions.
Any dispute arising out of or relating to these Terms or the Service shall be resolved exclusively by binding arbitration administered by the American Arbitration Association (AAA) under its Commercial Arbitration Rules. The arbitration shall take place in Delaware. The arbitrator's decision shall be final and binding, and judgment on the award may be entered in any court of competent jurisdiction.
Notwithstanding the foregoing, either party may seek injunctive or other equitable relief in any court of competent jurisdiction to prevent the actual or threatened infringement of intellectual property rights.
YOU WAIVE YOUR RIGHT TO PARTICIPATE IN A CLASS ACTION LAWSUIT OR CLASS-WIDE ARBITRATION.
15. Changes to These Terms
We reserve the right to modify these Terms at any time. We will notify you of material changes by posting the updated Terms on our website and, where required by law, sending an email notification to your registered email address. Your continued use of the Service after the effective date of any changes constitutes your acceptance of the revised Terms.
16. General Provisions
Entire Agreement. These Terms, together with our Privacy Policy and any additional terms you agree to, constitute the entire agreement between you and ContactLoop Inc regarding the Service and supersede any prior agreements.
Severability. If any provision of these Terms is held to be invalid or unenforceable, the remaining provisions will continue in full force and effect.
Waiver. Our failure to enforce any right or provision of these Terms will not be considered a waiver of those rights.
Assignment. You may not assign these Terms or any of your rights hereunder without our prior written consent. We may freely assign these Terms.
